1. Definition of the Archive
   “Archive” refers to the e-learning platform within the WatersAboveTM University application,
   operated by J M A Trading LLC (“Company”). The platform contains proprietary educational
   content, including but not limited to recorded workshops, live sessions, interviews, and course
   materials (collectively, the “Content”). Access to the Content is restricted to users who
   maintain an active paid membership with WatersAboveTM University or who have directly
   purchased individual course access. Unauthorized access, copying, resale, or distribution of
   the Content is strictly prohibited.

2. Acceptance of Terms
   By accessing or using the Archive, you (“User”) acknowledge that you have read, understood,
   and agree to be bound by these Terms & Conditions, as well as any additional terms
   referenced herein, including the WatersAboveTM University Privacy Policy. If you do not
   agree, you must not access or use the Archive.

3. Intellectual Property Rights
   All Content within the Archive is the exclusive property of J M A Trading LLC and is protected
   under applicable copyright, trademark, and intellectual property laws. Users are granted a
   limited, non-exclusive, non-transferable, revocable license to access and view the Content for
   personal educational use only. No portion of the Content may be copied, reproduced,
   distributed, transmitted, displayed, sold, licensed, reverse-engineered, or otherwise exploited
   for any commercial or public purpose without the express prior written consent of J M A
   Trading LLC. Any unauthorized use of the Content may result in termination of access,
   forfeiture of membership, and potential legal action.

4. Educational Purpose and No Advice Disclaimer
   All materials and information provided through the Archive are for educational purposes only
   and do not constitute financial, legal, tax, investment, or health advice. Participation in
   WatersAboveTM University does not create any fiduciary, advisory, or client relationship
   between the User and J M A Trading LLC. Users are solely responsible for their own
   decisions and actions based on the information provided.

5. Statements and Opinions
   Any statements, opinions, or views expressed by instructors, guest speakers, or participants
   are solely their own and do not necessarily reflect the views or policies of J M A Trading LLC
   or WatersAboveTM University. The inclusion of such opinions does not constitute endorsement
   by the Company, and the Company shall not be held liable for any reliance on such opinions

or representations.
6. Liability Disclaimer
To the fullest extent permitted by law, J M A Trading LLC and its affiliates, representatives,
instructors, and licensors disclaim any and all liability for any direct, indirect, incidental,
consequential, or punitive damages arising from the use or reliance on any Content within the
Archive. All Content is provided “as is” and “as available,” without warranties of any kind,
express or implied, including but not limited to implied warranties of accuracy, completeness,
fitness for a particular purpose, or non-infringement.
7. Consent to Recording and Use of Likeness
By participating in any live or recorded session hosted by J M A Trading LLC or
WatersAboveTM University, you grant the Company an irrevocable, worldwide, royalty-free
license to record, reproduce, distribute, display, and otherwise use your likeness, voice, and
participation for educational and promotional purposes. You waive any right to inspect or
approve such uses and release the Company from any claims or liability related to such use.
8. Restrictions on Sharing and Redistribution
Users agree not to reproduce, share, transmit, display, post, or make available any Archive
Content to third parties. Unauthorized sharing, copying, or redistribution constitutes a material
breach of these Terms and may result in immediate termination of access without refund, and
potential civil or criminal action.
9. Privacy Policy
The Company collects, stores, and processes User data in accordance with its [Privacy
Policy], which is incorporated herein by reference. Users should review that policy to
understand how personal information is handled and protected.
10. Refund Policy
J M A Trading LLC offers a 14-day refund policy for new purchases of memberships or digital
courses made through WatersAboveTM University. To request a refund, Users must contact
the Company in writing at watersabovemod@gmail.com within fourteen (14) calendar days of
the original purchase date. Refunds will only be granted if: (1) The request is submitted within
the 14-day period; and (2) The User has not accessed or downloaded more than 25% of the
purchased Content. After the 14-day period, or if significant use of the Content has occurred,
all sales are considered final. Refunds are processed to the original payment method within
ten (10) business days of approval.
11. Modification of Terms
The Company reserves the right to modify, amend, or update these Terms & Conditions at
any time. Any changes will be effective upon posting within the Archive or on the
WatersAboveTM University website. Continued use of the platform after such posting

constitutes acceptance of the revised Terms.
12. Termination of Access
J M A Trading LLC may, at its sole discretion, suspend or terminate any User’s access to the
Archive at any time and for any reason, including but not limited to violation of these Terms,
misuse of Content, or conduct detrimental to the learning community.
13. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or
the use of the Archive, the parties shall first attempt to resolve the matter through good-faith
mediation. If the dispute is not resolved within thirty (30) days of commencing mediation, it
shall be submitted to binding arbitration in accordance with the rules of the American
Arbitration Association. The arbitration shall take place in the Commonwealth of Virginia, and
judgment upon the award rendered by the arbitrator may be entered in any court of competent
jurisdiction. Each party shall bear its own costs and attorney’s fees, unless otherwise
determined by the arbitrator.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the
Commonwealth of Virginia, without regard to its conflict-of-law principles.
15. Force Majeure
The Company shall not be liable for any failure or delay in performance arising from causes
beyond its reasonable control, including but not limited to acts of nature, power outages,
technical failures, strikes, or governmental restrictions.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining
provisions shall continue in full force and effect.
17. Entire Agreement
These Terms & Conditions constitute the entire agreement between the User and J M A
Trading LLC concerning access to and use of the Archive, and supersede any prior
agreements, representations, or understandings, whether written or oral.
